Terms of Service Agreement

Welcome to Accountant Simple (“Accountant Simple”), a provider of various services that assist new and existing businesses via our website at https://www.accountantsimple.com (the “Site”).

The legal name is Accountant Simple Inc., which was incorporated and legally registered in the State of Delaware, United States of America.

These Terms of Service, together with our Privacy Policy incorporated herein by reference (collectively, the “Terms”), form a legal agreement between you and Accountant Simple Inc. By accessing or using any part of the Services, you agree to be bound by these Terms.

Accountant Simple Inc offers the following services, namely:

  • Preparation or assistance in the preparation of any U.S. federal tax return not subject to exceptions,
  • Representation in an IRS audit, payment/collection issues, and appeals,
  • Assistance in business entity filing,
  • Bookkeeping,
  • Payroll management,
  • Billing management,
  • Financial analysis, and
  • Other services with the ultimate objectives of improving profitability and enhancing compliance. The specific scope of work and particular objectives may be agreed upon by all parties.
  1. Acceptance of Terms:
  • Notice: This Agreement governs your use of the Site and the Applications. It is your responsibility to read, review, and understand these terms and conditions. By clicking “I accept,” you agree to be bound by this Agreement and all its terms.
  • Eligibility: You must be at least 18 years old to use our Services. The Services are only available to users and businesses located in the United States.
  1. Client and Provider Obligations:
  • Client Obligations: You agree to provide accurate, complete, and timely information and data necessary for us to render services. You are responsible for reviewing all final document(s) before approving, signing, submitting, and or filing them with designated recipients.  Accountant Simple Inc shall not be held liable to any consequences whatsoever because of inaccurate, incomplete, and late information and data. Furthermore, you are responsible for reviewing the final output(s) delivered based on the agreed scope of work. Once you approve the said final output(s)Accountant Simple Inc shall not be held liable for any consequence whatsoever of the use of the final output(s).
  • Provider Obligations: We agree to assign competent personnel to deliver services according to the agreed-upon scope of work. Our efforts include communication with you regarding services through email or phone, as needed.
  • If the use of service involves preparation or assistance in the preparation of any U.S. federal tax return not subject to exceptions, and which preparation or assistance involves compensation, Accountant Simple Inc will have it performed by tax return preparers who have active Preparer Tax Identification Number (PTIN). Such performance shall be within the authority of the tax preparers as provided for by pertinent laws and regulations. With the foregoing, a corresponding separate fee and arrangement shall be made in compliance with law and regulations.
    • In the event that there is an IRS audit, payment/collection issues, and appeals, Accountant Simple Inc will have it performed by Enrolled Agents, Certified Public Accountants, and/or Attorneys. With the foregoing, a corresponding separate fee and arrangement shall be made in compliance with law and regulations.
    • For other services that require a professional license, accreditation, certifications, and the like it shall be performed by such professional within the scope of his/her authority as provided for by pertinent laws and regulations.
  1. Services and Use:
  • Scope of Services: The specific services provided are outlined in the service agreement. These may include assistance in tax preparation, legally permissible bookkeeping, assistance in establishing a new business, and assistance in improving existing business.
  • No Unlawful or Prohibited Use: You warrant not to use the Site or the Applications for any purpose that is unlawful or prohibited by these Terms.
  1. Communication and Consent:
  • Communication: We will primarily communicate with you via email and allow for reasonable phone communication as detailed in the service agreement.
  • Consent to Calls and Messages: By providing your contact details, you consent to receive automated and manual calls, SMS messages, and emails from us regarding your account and our services.
  1. Billings, Subscription, Cancellations and Refunds:
  • Subscription is on a monthly basis. Upon payment of the subscription fee, which is the monthly fee, a monthly subscription is started at such date until 30 days thereafter (for illustration purposes: if you paid on January 1, 2024, your subscription will be from January 1 to January 30, 2024) If you wish to renew or continue, you must pay immediately on or before the expiration of the current subscription. Otherwise, after the 30-day period, you will no longer have access to the services of Accountant Simple Inc (so, if you did not pay on or before January 30, 2024, you will no longer have access, otherwise, your subscription will be from February 1, 2024, onwards).
  • For your first subscription, Accountant Simple Inc considers your satisfaction our top priority. If you are not satisfied with any aspect of our service within the 30-day period covering your first subscription, you have the option to request a refund of the prorated balance for the services rendered. After the initial subscription, the option for a refund is no longer available, and all monthly subscriptions, as you renew every month thereafter, shall be considered fully earned and non-refundable.
  • In the event that you avail of the service of preparation or assistance in the preparation of any U.S. federal tax return not subject to exceptions and representation on an IRS audit, payment/collection issues, and appeals, and you actively participated and, concomitant, Accountant Simple Inc have already provided service pertaining to the foregoing, it is immediately deductible to the monthly subscription and no longer refundable at any case.
  • In the event that the actual services you availed and, concomitant, Accountant Simple Inc rendered to have a total billing in excess of the monthly subscription paid already, you must settle it within three (3) days upon notice, otherwise, your monthly subscription is immediately terminated. In the event that services to be availed are expected to have a billing that will exceed the monthly subscription fee paid already within ten (10) days before the expiration of the given monthly subscription, Accountant Simple Inc reserves the right to refuse such services unless the monthly subscription for the succeeding month is paid in advanced (the said succeeding month will accordingly commence after the expiration of the 30 day period of the given month).
  • Any violation of these Terms shall give rise to the right of Accountant Simple Inc to cancel your subscription without prejudice to the right of collection of dues. Failure to provide accurate billing information may result in service suspension or termination.
  • Fee Changes: We may change the subscription fee upon notice to you. Changes will apply from the next billing cycle following the notice.
  1. Intellectual Property:
  • License: We grant you a personal, limited, revocable, non-transferable license to use content provided on the Site or the Applications solely for receiving the Services.
  • Ownership: All content, including text, graphics, logos, and software, is the property of Accountant Simple Inc or its licensors and is protected by intellectual property laws.
  1. Disclaimers and Limitations:
  • No Warranties: The Services are provided “as is” without any warranties of any kind, express or implied.
  • Limitation of Liability: Except were prohibited by law, Accountant Simple Inc shall not be liable for any indirect, special, incidental, or consequential damages arising out of the use of the Services.
  1. Arbitration and Class Action Waiver:
  • Arbitration: All disputes between you and Accountant Simple Inc will be resolved by binding arbitration. Your agreement to arbitration means you are giving up the right to go to court and the right to a trial by jury, and instead, disputes will be decided by a neutral arbitrator. You also agree that all disputes between us, whether in court or in arbitration, will be brought only on an individual basis and you are waiving your right to bring or participate in a class arbitration or class action.
  • Governing Law: These Terms of Service have been made and will be construed and enforced in accordance with the laws of the United States of America and the State of Delaware as an agreement wholly performed in the State of Delaware without regard to their conflict of law provisions and the United Nations Conventions on Contracts
  1. Miscellaneous:
  • Modifications to Terms: We reserve the right to modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
  • Severability: If any part of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

  1. Acknowledgment: By using the Services of Accountant Simple Inc, you acknowledge that you have read these Terms, understand them, and agree to be bound by all of the terms and conditions herein.
  • Payment Acceptance: Upon agreeing to these terms and making payment, you subscribe to our services. You authorize us to charge the agreed amounts via your chosen payment method. Any billing errors should be reported to our customer support team promptly.
